Two of the nation’s most iconic railroads are merging to create the first fully transcontinental railroad in American history. Union Pacific and Norfolk Southern have announced an agreement that will link more than 50,000 miles of track across 43 states, reaching nearly 100 ports and stretching from the East Coast to the West Coast.
Just last week, Arkansas Money & Politics reported that the two companies were discussing a potential merger, but both companies refused to give specific details at the time.
The deal, valued at $85 billion, will see Union Pacific acquire Norfolk Southern in a cash and stock transaction. For $320 per share, the price represents a 25% premium over Norfolk Southern’s recent trading average and positions the combined company as a $250 billion enterprise.
Jim Vena, Union Pacific CEO, called the merger a historic advancement in the freight industry.
“Railroads have been an integral part of building America since the Industrial Revolution, and this transaction is the next step in advancing the industry,” Vena said. “Imagine seamlessly hauling steel from Pittsburgh, Pennsylvania to Colton, California and moving tomato paste from Heron, California to Fremont, Ohio. Lumber from the Pacific Northwest, plastics from the Gulf Coast, copper from Arizona and Utah, and soda ash from Wyoming. Right now, tens of thousands of railroaders are moving almost everything we use. You name it, and at some point, the railroad hauled it.”
The companies said the merger will remove interchange delays, open new routes and improve intermodal service. It will also reduce transit time on critical corridors and offer a more truck-competitive shipping option, lessening highway congestion and lowering road maintenance costs for taxpayers.
The agreement emphasizes job security for union employees and envisions continued investment in infrastructure and innovation. Together, the companies already invest approximately $5.6 billion annually across their networks.
Mark George, CEO of Norfolk Southern, noted the merger builds on a strong foundation.
“Our safety, network, and financial performance is among the best we’ve had as a company, as is our customer satisfaction,” George said. “And it is from this position of strength that we embark on this transformational combination.”
George praised Union Pacific as a partner committed to enhancing the role of rail in the American economy.
“Union Pacific is a true partner that shares our belief in rail’s ability to deliver for all stakeholders simultaneously, and we are excited for our future together,” he said.
Vena added that the plan builds on President Abraham Lincoln’s original vision for a coast-to-coast railroad nearly 165 years ago.
“This combination is transformational, enhancing the best freight transportation system in the world – it’s a win for the American economy, it’s a win for our customers, and it’s a win for our people,” he said.
